1. Introduction

This policy outlines the terms governing:

By working with Heeraa Industries, you agree to the terms outlined below.

2. About Heeraa Industries

Heeraa Industries is a manufacturer of:

  • Premium Fancy Bangles
  • Temple Bangles
  • Antique Finish Bangles
  • Bridal Bangles
  • Original Stone Maalas

We supply products across India and selected international markets through retailers, distributors, wholesalers, and business partners.

3. Distributor Partnership

We welcome applications from businesses interested in becoming:

  • Regional Distributors
  • State Distributors
  • City Distributors
  • Stockists
  • Wholesale Dealers
  • Export Partners

Distributor appointments are subject to review and approval by Heeraa Industries.

4. Distributor Eligibility

To become a distributor, applicants should generally:

  • Be a registered business or proprietor.
  • Have experience in the jewellery, fashion accessories, or related trade (preferred but not mandatory).
  • Maintain a professional business presence.
  • Demonstrate the ability to handle wholesale inventory.
  • Comply with applicable tax and legal requirements.

Approval is at the sole discretion of Heeraa Industries.

5. Minimum Order Requirements

The standard wholesale minimum order quantity (MOQ) applies unless otherwise agreed in writing.

Minimum One Box Per Design

Each box contains 12 sets of the selected design.

Additional commercial terms may be agreed separately for large distributors.

6. Pricing

Distributor pricing is based on:

  • Product Category
  • Quantity
  • Order Value
  • Business Relationship
  • Market Requirements

Prices may change without prior notice due to manufacturing costs or market conditions.

Any quotation issued is valid only for the period specified in the quotation.

7. Territory

Unless specifically agreed in writing, appointment as a distributor does not grant exclusive rights over any city, district, state, country, or territory.

Heeraa Industries reserves the right to appoint additional distributors, dealers, or retailers in any market.

8. Private Label Manufacturing

Heeraa Industries offers Private Label Manufacturing for businesses wishing to sell products under their own brand.

Private label services may include:

  • Brand Name Printing
  • Custom Packaging
  • Private Branding
  • Barcode Labelling
  • Product Stickers
  • Business Information Printing

Availability depends on the product category, order quantity, and commercial agreement.

9. OEM Manufacturing

We also provide OEM (Original Equipment Manufacturing) services for qualifying business customers.

OEM projects may include:

  • Custom Product Development
  • Exclusive Designs
  • New Mould Development
  • Product Customization
  • Bulk Manufacturing

Project timelines and pricing are finalized after technical and commercial discussions.

10. Design Development

Customers requesting:

  • Exclusive Designs
  • New Moulds
  • Special Collections

may be required to bear the applicable development and mould charges.

Ownership and usage rights for custom-developed designs will be governed by the commercial agreement executed for that project.

11. Branding Guidelines

For standard Heeraa Industries products:

  • The Heeraa Industries name, logo, and branding must not be modified or misrepresented.

For approved private label orders:

  • Products may be supplied under the customer’s own brand, as agreed.

12. Intellectual Property

All intellectual property belonging to Heeraa Industries, including:

  • Product Designs
  • Product Images
  • Catalogues
  • Logos
  • Marketing Materials
  • Website Content
  • Brand Assets

remains the exclusive property of Heeraa Industries unless otherwise agreed in writing.

Customers may not reproduce, distribute, or commercially use these materials without prior written permission.

13. Product Images & Catalogue

Our product photographs and catalogues are intended for business discussions and order placement.

Customers may not:

  • Copy our catalogue.
  • Download and republish product images.
  • Remove or alter our branding.
  • Use our catalogue as their own marketing material.
  • Represent our official catalogue as their own publication.

Private label customers may create their own marketing content using products supplied under their own brand after purchase.

14. Quality Commitment

Every order is inspected before dispatch.

Our quality assurance includes verification of:

  • Product Design
  • Quantity
  • Sizes
  • Stone Placement
  • Finish
  • Packaging

Minor handcrafted variations are normal and do not constitute manufacturing defects.

15. Packaging

Standard packaging is included with wholesale orders.

Additional options may be available upon request, including:

  • Premium Packaging
  • Private Label Packaging
  • Custom Printed Boxes
  • Branded Labels
  • Retail-Ready Packaging

Additional charges may apply depending on the requirements.

16. Payment Terms

Domestic orders may be placed using:

  • 100% Advance Payment, or
  • 30% Advance + Balance Cash on Delivery (COD), subject to service availability.

International orders generally require 100% advance payment, unless otherwise agreed in writing.

17. Shipping

Shipping terms are governed by our Shipping Policy.

Shipping charges, freight arrangements, and delivery timelines will be communicated at the time of order confirmation.

18. Warranty & Product Care

Artificial jewellery does not carry a warranty.

The life of the polish depends on factors such as usage, storage, exposure to water, perfumes, chemicals, sweat, and general handling.

Normal wear over time is not considered a manufacturing defect.

19. Returns & Replacements

All distributor and private label orders are subject to our Return, Refund & Replacement Policy.

As a general rule:

  • No Returns
  • No Refunds
  • No Exchanges

However, if we supply the wrong design, wrong size, wrong quantity, or a verified manufacturing defect, we may provide a replacement or a credit note after verification.

20. Confidentiality

Any confidential business information exchanged between Heeraa Industries and a distributor or private label customer, including pricing, product development, quotations, and business discussions, should be treated as confidential unless disclosure is required by law or agreed in writing.

21. Right to Refuse Service

Heeraa Industries reserves the right to decline or discontinue any distributor, dealer, reseller, or private label relationship where there is:

  • Misrepresentation of our products.
  • Unauthorized use of our intellectual property.
  • Non-compliance with agreed commercial terms.
  • Fraudulent or unlawful activity.

22. Governing Law

This policy shall be governed by the laws of India.

Any dispute arising under this policy shall be subject to the jurisdiction of the competent courts located in Delhi and Mumbai, India.
